Vaultez Terms of Service

1. Acceptance of Terms

By accessing or using Vaultez (“Service”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and all applicable laws and regulations. If you do not agree with these Terms, do not use the Service.

2. Description of Service

Vaultez provides a secure platform for storing, managing, and sharing sensitive information such as environment variables, API keys, passwords, and other secrets (“Secrets”). The Service is intended for authorized users only.

3. User Responsibilities

3.1 Eligibility

You must be at least 18 years old or have legal capacity to enter into a binding agreement to use Vaultez.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials (e.g., password, API keys).
You agree to notify us immediately of any unauthorized access to your account.

3.3 Prohibited Activities

You agree not to:

Use the Service for any illegal or unauthorized purpose.
Store or share Secrets that violate any law, regulation, or third-party rights (e.g., copyrighted material, personal data without consent).
Reverse engineer, scrape, or attempt to gain unauthorized access to the Service or other users’ Secrets.
Interfere with or disrupt the Service (e.g., DDoS attacks, malware).
Impersonate any person or entity.

4. Ownership and Intellectual Property

Your Secrets: You retain all rights to the Secrets you store or share using Vaultez. The Service Provider does not claim ownership of your Secrets.
Our Service: Vaultez and all related intellectual property (e.g., software, logos, branding) are owned by the Service Provider. You are granted a limited, non-exclusive, revocable license to use the Service in accordance with these Terms.

5. Security and Encryption

Your Responsibility: You are solely responsible for the security of your Secrets. We strongly recommend enabling all available security features (e.g., encryption keys).
Our Responsibility: We implement industry-standard security measures (e.g., secure storage) to protect your Secrets. However, no method of transmission or storage is 100% secure. We cannot guarantee absolute security.

6. Data Privacy

Your use of the Service is also governed by our Privacy Policy. By using Vaultez, you consent to the collection, use, and disclosure of your data as described therein.

7. Fees and Payment

Subscription Plans: Vaultez may offer free and paid subscription plans. Payment terms (e.g., pricing, billing cycles, refunds) are specified at the time of purchase.
Non-Payment: Failure to pay fees may result in suspension or termination of your access to the Service.
Taxes: You are responsible for all applicable taxes related to your use of the Service.

8. Termination

By You: You may terminate your account at any time by [describe process, e.g., “contacting support@vaultez.com”].
By Us: The Service Provider may suspend or terminate your account at any time, with or without cause, including but not limited to:
- Violation of these Terms.
- Non-payment of fees.
- Inactivity for an extended period (e.g., 12 months).

Effect of Termination: Upon termination, your Secrets may be permanently deleted unless required to be retained by law. The Service Provider is not liable for any loss of data.

9. Disclaimers and Limitations of Liability

9.1 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMISSIBLE BY LAW, THE SERVICE PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY.
FITNESS FOR A PARTICULAR PURPOSE.
NON-INFRINGEMENT.

THE SERVICE PROVIDER DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

9.2 Limitations of Liability

IN NO EVENT SHALL THE SERVICE PROVIDER, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION) ARISING FROM YOUR USE OF THE SERVICE, EVEN IF THE SERVICE PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE SERVICE PROVIDER'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO THE SERVICE PROVIDER IN THE PRECEDING 12 MONTHS.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Service Provider and its affiliates, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

Your use of the Service.
Your violation of these Terms.
Your Secrets or your sharing of Secrets with others.

11. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law principles.
Dispute Resolution: Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Finland, in accordance with the rules of the [Arbitration Institution, e.g., ICC]. Alternatively, you may bring claims in the courts of Finland.

12. Changes to These Terms

The Service Provider reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to the new terms taking effect. Your continued use of the Service after such notice constitutes acceptance of the new Terms.

13. Miscellaneous

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Assignment: You may not assign or transfer these Terms without the Service Provider's prior written consent. The Service Provider may assign these Terms without your consent.
Entire Agreement: These Terms constitute the entire agreement between you and the Service Provider regarding the Service and supersede all prior agreements.
